These Terms of Service ("Terms") govern your access to and use of the software products, applications, websites, and services provided by Binder & Bow, Inc. ("Binder & Bow," "we," "our," or "us").
By creating an account, accessing, or using any Binder & Bow product or service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.
1. About Binder & Bow
Binder & Bow develops software that supports organizations throughout the funding lifecycle.
Our products include Capture, Govern, Deliver, and any additional products, applications, features, or services that Binder & Bow may introduce from time to time. Collectively, these products and services are referred to in these Terms as the Platform.
Each product has a different purpose and functionality. Capture is a funding intelligence platform that turns organizational knowledge into competitive advantage. Govern supports funding governance and organizational readiness. Deliver supports portfolio oversight, learning, and performance intelligence. Product functionality may evolve as the Platform develops.
2. Eligibility
You must be at least eighteen (18) years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent.
If you create an account on behalf of an organization, you confirm that you have authority to bind that organization to these Terms.
3. User Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You agree to provide accurate and complete registration information and to keep that information current.
Organizations are responsible for managing user access within their own accounts. Individual login credentials must not be shared between users.
You must notify Binder & Bow promptly if you believe your account has been accessed without authorization.
4. Acceptable Use
You agree to use the Platform only for lawful purposes and in accordance with these Terms.
You must not:

upload content that infringes the intellectual property or privacy rights of others;

upload unlawful, fraudulent, or malicious content;

interfere with the security, integrity, or operation of the Platform;

attempt to reverse engineer, decompile, copy, reproduce, scrape, or otherwise extract the Platform, its software, models, systems, or underlying technology;

use the Platform to develop or support a competing product or service;

attempt to gain unauthorized access to other customer accounts or Binder & Bow systems.
5. Subscriptions and Payment
Access to the Platform is provided through subscriptions or other commercial arrangements offered by Binder & Bow.
Certain products may include free trials. Trial periods, subscription fees, renewal terms, and billing arrangements will be communicated at the time of purchase.
Payments are processed securely through third-party payment providers.
Unless otherwise stated, subscriptions automatically renew until cancelled.
Cancellation takes effect at the end of the current billing period.
6. Customer Data
You retain ownership of the documents, information, and content uploaded to the Platform ("Customer Data").
Binder & Bow processes Customer Data solely for the purpose of providing, maintaining, improving, securing, and supporting the Platform.
Customer Data is never sold to third parties.
Binder & Bow does not use Customer Data to train public artificial intelligence models.
You are responsible for ensuring that you have the legal right to upload Customer Data and that doing so complies with applicable laws, contractual obligations, and organizational policies.
Subject to your subscription and applicable law, you may export your Customer Data and request deletion of your account.
7. Artificial Intelligence and Automated Processing
Certain Binder & Bow products use artificial intelligence and automated processing to organize information, identify patterns, generate summaries, and produce structured insights.
These features are intended to assist users in understanding organizational information.
Outputs generated by the Platform should be reviewed by users before being relied upon for funding, operational, financial, legal, or strategic decisions.
Users remain responsible for all decisions made using the Platform.
8. Confidentiality
Binder & Bow treats Customer Data as confidential information.
We implement reasonable administrative, technical, and organizational safeguards designed to protect Customer Data from unauthorized access, disclosure, alteration, or destruction.
Users are responsible for maintaining the confidentiality of information accessed through their own accounts.
9. Intellectual Property
The Platform, including its software, technology, architecture, interfaces, workflows, documentation, branding, designs, and all related intellectual property rights, remains the exclusive property of Binder & Bow or its licensors.
Nothing in these Terms transfers ownership of the Platform or grants any right to reproduce, modify, distribute, sell, license, or create derivative works from any part of the Platform except as expressly permitted by Binder & Bow.
The Binder & Bow name, logos, product names, and branding are proprietary to Binder & Bow and may not be used without prior written permission.
10. Third-Party Services
The Platform integrates with third-party service providers to deliver certain functionality.
These providers may include cloud hosting services, payment processors, artificial intelligence providers, analytics providers, authentication providers, and communication services.
Your use of those services may also be subject to their own terms and privacy policies.
Binder & Bow is not responsible for third-party services beyond our reasonable control.
11. Service Availability
Binder & Bow continually develops and improves the Platform.
We may introduce new features, modify existing functionality, or discontinue certain services.
While we aim to provide reliable service, uninterrupted availability cannot be guaranteed.
Scheduled maintenance, software updates, security events, or circumstances beyond our reasonable control may temporarily affect access.
12. Disclaimer of Warranties
The Platform is provided on an "as is" and "as available" basis.
To the fullest extent permitted by law, Binder & Bow disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted availability.
Binder & Bow does not guarantee that the Platform will be error-free or that it will meet every user's requirements.
13. Limitation of Liability
To the fullest extent permitted by applicable law, Binder & Bow shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of revenue, funding opportunities, profits, goodwill, business interruption, or data.
Binder & Bow's total aggregate liability arising from or relating to the Platform shall not exceed the total subscription fees paid by the customer during the twelve (12) months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot lawfully be excluded.
14. Suspension and Termination
Binder & Bow may suspend or terminate access to the Platform where necessary to protect the Platform, comply with legal obligations, investigate suspected misuse, or enforce these Terms.
Users may terminate their subscription at any time in accordance with their subscription terms.
Termination does not affect obligations that are intended to survive termination, including provisions relating to intellectual property, confidentiality, limitation of liability, and governing law.
15. Changes to These Terms
Binder & Bow may update these Terms periodically to reflect changes to the Platform, legal requirements, or business operations.
Where changes are material, we will provide reasonable notice through the Platform or by email.
Continued use of the Platform after the effective date of updated Terms constitutes acceptance of those changes.
16. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
Any dispute arising from or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the state and federal courts located within Delaware.
